Terms & Conditions

These Terms & Conditions govern your access to and participation in workshops, series, and programmes offered by Indemnia (“we”, “us”, “our”). Please read them carefully before registering. By completing an enrolment, making a payment, or otherwise accessing our services, you confirm that you have read, understood, and agree to be bound by these terms.
1. Definitions
Throughout these Terms, the following words carry the meanings given below:
- “Agreement” means these Terms & Conditions, together with any programme confirmation or invoice issued to you.
- “Content” means all written materials, workbooks, reading lists, checklists, exercises, recorded mini-lessons, and other resources made available through our services.
- “Participant” or “User” means any individual who registers for or attends a workshop, series, or programme.
- “Programme” means any workshop, series, or department engagement we provide, as described on our website.
- “We / Us / Our” means Indemnia, a business registered in Singapore, operating from 38 Beach Road, #29-08, Singapore 189767.
2. Acceptance of Terms
By submitting an enrolment enquiry, completing payment, or attending any session, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are registering on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
If you do not accept these terms, please do not register or attend our programmes.
3. Service Description
Indemnia offers educational workshops and structured learning series focused on plain-language drafting and written communication. Our current offerings are:
- Writing Clarity Refresher — a two-evening workshop on drafting clarity suitable for working professionals.
- Drafting Skills Series — a six-week live-online programme for professionals who want to improve the clarity and structure of their regular documents.
- Department Drafting Programme — a twelve-month in-house engagement designed to help departments develop a consistent shared drafting standard.
We reserve the right to adjust programme content, format, dates, or delivery mode where operationally necessary. Material changes will be communicated to registered participants in advance.
Our services are offered primarily to participants based in or able to join sessions from Singapore. Participants outside Singapore are welcome where sessions are delivered online, subject to confirmation.
4. Enrolment & Accounts
Enrolment is confirmed upon receipt of payment or a written purchase order from an authorised representative of your organisation. We will send a confirmation to the email address provided at registration.
You are responsible for ensuring the details you provide at registration are accurate. If you discover an error, please contact us at [email protected] as soon as possible.
Where access to an online learning environment or shared document library is provided, you are responsible for keeping your access credentials confidential and for all activity that takes place under them. Notify us promptly if you become aware of any unauthorised access.
5. User Responsibilities
Participants agree to engage with our programmes in good faith and with respect for facilitators and fellow participants. In particular, you agree that you will not:
- Share session links, access credentials, or materials with individuals who have not registered and paid for that programme.
- Record sessions without prior written consent from Indemnia.
- Use any Content for commercial redistribution, resale, or training delivery to third parties.
- Behave in a manner that disrupts sessions or creates a hostile environment for other participants.
- Misrepresent your identity, role, or organisational affiliation when registering.
- Submit work for peer feedback that is not your own, or that you are not authorised to share.
We reserve the right to remove a participant from a session or programme if their conduct materially disrupts the experience of others. In such cases, no refund will be issued.
6. Intellectual Property
All Content created and provided by Indemnia — including workbooks, reading lists, editing checklists, framework documents, slide decks, recorded mini-lessons, and programme materials — remains our intellectual property. You are granted a limited, personal, non-exclusive, non-transferable licence to use such Content for your own professional development during and after the programme in which you enrolled. This licence does not permit:
- Distribution of Content to colleagues, clients, or third parties beyond what is personally necessary for applying learning in your own work.
- Reproduction of Content in whole or in part for training purposes directed at others.
- Publishing or sharing Content in digital or physical form without our written consent.
Where participants submit their own draft documents during exercises, they retain ownership of that material. By submitting documents for peer and instructor feedback, you grant Indemnia a limited, non-commercial licence to use anonymised excerpts for illustrative purposes in future sessions, unless you advise us in writing that you do not consent to such use.
7. Payment Terms
All fees are quoted in Singapore Dollars (SGD) and are inclusive of applicable taxes unless stated otherwise. Current programme fees are:
- Writing Clarity Refresher: SGD 165 per participant
- Drafting Skills Series: SGD 495 per participant
- Department Drafting Programme: SGD 1,040 per engagement (up to 25 staff)
Payment is due upon registration unless a separate payment schedule has been agreed in writing. We accept bank transfer and major credit cards. Details will be provided in your invoice.
Cancellation and transfers: If you need to withdraw from a programme, please notify us in writing at least five business days before the first session. We will apply your fee as a credit toward a future intake. Cancellations received with less than five business days' notice, and no-shows, are not eligible for credit. Participant substitutions (replacing one named attendee with another from the same organisation) may be arranged at no additional charge with prior notice.
Programme cancellation by Indemnia: In the event we cancel a programme, registered participants will receive a full credit or, upon request, a full refund.
8. Programme-Specific Terms
Writing Clarity Refresher: Attendance at both evenings is recommended to obtain full benefit from the programme. The workbook and editing checklist are provided to all registered participants regardless of attendance.
Drafting Skills Series: Cohort size is capped at sixteen participants. A place is reserved for you upon confirmation of payment. Where a cohort reaches capacity, we will offer placement in the next available intake. Active participation in the weekly exercises and the closing portfolio piece is expected and forms part of the structured learning design.
Department Drafting Programme: The programme begins with a writing audit of a sample of recent departmental documents. The department is responsible for providing representative document samples within an agreed timeline. Quarterly workshops are scheduled in consultation with the department head. The programme is designed for teams of five to twenty-five staff; engagements for teams outside this range will be scoped individually.
9. Disclaimers
Our programmes are educational in nature and are designed to help professionals develop writing and drafting skills. We do not guarantee any particular outcome, including improvements to professional performance ratings, career progression, or the quality of documents produced after participation.
Content provided in our programmes reflects considered editorial and drafting perspectives. It does not constitute advice specific to any participant's professional context. Where participants work in regulated industries, they should satisfy themselves that any changes to their drafting practices are consistent with their professional obligations.
Services are provided on an “as available” basis. We do not guarantee uninterrupted access to online platforms and are not responsible for disruptions arising from third-party services, internet connectivity, or circumstances outside our reasonable control.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Indemnia's total liability to any participant or organisation arising from or in connection with a programme shall not exceed the fee paid by that participant or organisation for the specific programme giving rise to the claim.
We are not liable for any indirect, incidental, consequential, or special loss or damage, including loss of revenue, anticipated savings, business opportunity, or goodwill, even if we have been advised of the possibility of such loss.
Nothing in these terms limits liability for death, personal injury, or fraudulent misrepresentation caused by our negligence.
Events beyond our reasonable control — including but not limited to public health measures, venue unavailability, natural events, and third-party platform outages — may excuse or modify our obligations without liability.
11. Indemnification
You agree to indemnify and hold harmless Indemnia, its facilitators, and staff from and against any claims, losses, costs, or expenses (including reasonable professional fees) arising from your breach of these terms, your misuse of our Content, or your conduct during a session that causes harm to another participant or to us.
12. Termination
Either party may terminate participation in a programme by giving written notice. If you terminate without cause after the first session, the fee credit policy in Section 7 applies. If we terminate your participation due to a breach of these terms, no credit or refund will be issued.
On termination, your licence to use programme Content (Section 6) for your own personal professional development continues. All other rights granted under these terms cease.
Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.
13. Dispute Resolution
These Terms are governed by the laws of Singapore. Any dispute arising from or in connection with these Terms shall first be referred to good-faith discussions between the parties. If a dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to mediation administered by the Singapore Mediation Centre before commencing any other proceedings.
The courts of Singapore shall have non-exclusive jurisdiction over any dispute that is not resolved through the above process.
14. General Provisions
Entire agreement: These Terms, together with any programme confirmation or invoice, constitute the entire agreement between the parties in respect of the subject matter and supersede all prior discussions, representations, and arrangements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: A failure or delay by either party to exercise a right does not constitute a waiver of that right.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor organisation without your consent, provided the successor assumes the obligations in these Terms.
Notices: Written notices under these Terms should be sent to [email protected] or to the address in Section 16.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. If you are enrolled in an ongoing programme at the time of a material change, we will notify you by email. Continued participation in a programme following notification constitutes acceptance of the revised terms.
